Policy Sage is committed to maintaining compliance with applicable data protection and privacy laws, including but not limited to GDPR, CCPA, and other relevant regulations, in our collection, processing, and storage of user data. in your use of the service. Policy Sage reserves the right to modify, change, or update these Terms and Conditions at any time without prior notice. Your continued use of Policy Sage's services after any such changes constitutes your acceptance of the new Terms and Conditions.

Description of Service

Policy Sage provides an AI-powered policy intelligence service designed to demystify policy and empower decision-making. Performance Metrics: The service commits to the following performance standards:

1. Policy Analysis: Complete analysis of standard policy documents within 10 minutes

2. Accuracy Rate: Minimum 95% accuracy in policy interpretation

SLA Exclusions: The guaranteed service availability and performance metrics do not apply during: (a) Scheduled maintenance (which will be notified at least 48 hours in advance), (b) Force majeure events including natural disasters, global internet disruptions, or significant cybersecurity threats, (c) Issues caused by Customer's own infrastructure or network problems. The service offers a sophisticated platform to decode complex legislation within minutes, providing analysis and summarization results based on the actual text of your policy documents. The use of the service is subject to certain limitations, including a maximum of [X] user accounts per subscription and a data processing limit of [Y] policies per month. It is important to note that Policy Sage does not offer legal advice or replace the function of a qualified attorney. Customers are advised to always consult a qualified attorney before making decisions based on the analysis provided by Policy Sage.

Prohibited Uses: The Customer agrees not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair Policy Sage's servers or networks. Prohibited uses include, but are not limited to: (a) attempting to gain unauthorized access to the Service or other accounts, computer systems, or networks connected to Policy Sage; (b) using the Service to transmit any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material; (c) transmitting any material that contains viruses, Trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs; (d) interfering with or disrupting networks connected to the Service or violating the regulations, policies, or procedures of such networks; (e) attempting to modify, reverse engineer, decompile, disassemble, or otherwise reduce or attempt to reduce to human-perceivable form any of the source code used by Policy Sage in providing the Service. Any violation of these prohibitions may result in immediate termination of your account and legal action.

User Registration and Accounts

By registering for an Account, you provide explicit consent for Policy Sage to collect, process, and store your personal data for the purposes of account management, service delivery, communication about the service, and improving user experience. You acknowledge that your consent is voluntary and can be withdrawn at any time by contacting our data protection officer. ("Account") by providing a valid email address and creating a password. The data collected during registration will be used solely for the purposes of account management, service delivery, communication about the service, and improving user experience. Policy Sage collects this information to authenticate users, provide personalized service, and maintain account security. Policy Sage may share user data with selected service providers and partners as necessary to deliver the Service, but will only do so under confidentiality agreements that prohibit the unauthorized use or disclosure of personal information. information about yourself as prompted by the Service's registration form ("Registration Data"). You further agree to maintain and promptly update the Registration Data to keep it true, accurate, current, and complete.

Users have the right to access, review, and request corrections to their personal data at any time. Policy Sage is committed to maintaining the accuracy and integrity of user data and will respond to access and correction requests within 30 days.

You are responsible for maintaining the confidentiality of your password and Account, and are fully responsible for all activities that occur under your Account. You agree to (a) immediately notify Policy Sage of any unauthorized use of your password or Account or any other breach of security, and (b) ensure that you exit from your Account at the end of each session. Policy Sage cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

Fees and Payment Terms

This Fees and Payment Terms clause governs the financial obligations of the Customer in exchange for access to and use of the Service provided by Policy Sage. Invoices will be delivered electronically to the email address provided during Account registration. Invoices will be in a detailed PDF format, itemizing services, fees, and payment due dates. By registering an Account and providing Registration Data, the Customer agrees to these terms.

Payments must be made in the currency specified in the invoice and via the following acceptable methods of payment: credit card, bank transfer, or PayPal. Other payment methods may be permitted upon prior written agreement with Policy Sage. Late payments may incur late payment fees at the maximum rate permitted by law or a monthly charge of 1.5% of the outstanding balance, whichever is lower. Subscription Renewal: Unless terminated by either party, the subscription will automatically renew for successive terms equal to the original subscription period. Either party may prevent automatic renewal by providing written notice at least thirty (30) days prior to the end of the current term. Pricing for renewed terms may be adjusted with thirty (30) days prior written notice.

The Customer shall pay Policy Sage the fees as specified in the Service pricing schedule, which may be updated from time to time by Policy Sage. All fees are due and payable within thirty (30) days of invoice, unless otherwise specified in a written agreement between the parties.

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and the Customer is responsible for payment of all such taxes, levies, or duties, excluding only taxes based solely on Policy Sage's income.

Payments must be made in United States Dollars (USD), as specified in the invoice, via the following acceptable methods of payment: credit card, bank transfer, or PayPal. Other payment methods may be permitted upon prior written agreement with Policy Sage. Late payments may incur late payment fees at the maximum rate permitted by law or a monthly charge of 1.5% of the outstanding balance, whichever is lower.

In the event of any disputes regarding charges, the Customer must notify Policy Sage within sixty (60) days of the invoice date. Failure to dispute a charge within this timeframe will constitute the Customer's agreement to the charge.

Policy Sage reserves the right to suspend or terminate the Customer's access to the Service for any accounts that are thirty (30) days or more overdue. Policy Sage will provide prior notice of such suspension or termination, allowing the Customer an opportunity to rectify the overdue payment before such action is taken.

Policy Sage offers a 7-day money-back guarantee on all new subscriptions. If the Customer is not satisfied with the Service, they may request a full refund within 7 days of the initial purchase date. Refund requests must be submitted in writing to our customer support team. After the 7-day period, no refunds will be issued for any reason, including cancellation of the service. Refunds do not apply to renewal payments or upgrades to existing subscriptions.

Intellectual Property Rights

Ownership of all intellectual property rights in and to the Service, including but not limited to any software, applications, inventions, designs, processes, techniques, logos, trademarks, service marks, trade names, and any other materials or information provided or made available by Policy Sage as part of or in connection with the Service, shall remain with Policy Sage or its licensors. The Customer is granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms & Conditions. This license is valid for the duration of the Customer's subscription to the Service and allows the Customer to use the Service for their internal business purposes only. The license terminates automatically upon the expiration or termination of the Customer's subscription.

The Customer shall not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble, or otherwise attempt to derive source code from any part of the Service, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. The Customer agrees to not remove, obscure, or alter any copyright or other proprietary rights notices affixed to or contained within the Service.

Any feedback, comments, or suggestions the Customer may provide regarding the Service is entirely voluntary and Policy Sage shall be free to use such feedback, comments, or suggestions as it sees fit and without any obligation to the Customer.

User Data and Privacy

In the course of using the Service, the Customer agrees to provide true, accurate, current, and complete Registration Data as prompted by the Service's registration form. The Customer also agrees to maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If the Customer provides any information that is untrue, inaccurate, not current, or incomplete, or if Policy Sage has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Policy Sage has the right to suspend or terminate the Customer's Account and refuse any and all current or future use of the Service (or any portion thereof).

Policy Sage is committed to protecting the privacy and security of the Customer's Registration Data and any other information collected through the use of the Service. This includes, but is not limited to, personal identification information, contact details, usage data, and any other data provided by the Customer or generated through their use of the Service. Policy Sage will collect, use, and disclose such information in accordance with its Privacy Policy, which is available on the Service's website and incorporated herein by reference. The Customer consents to the collection, use, and disclosure of their information as described in the Privacy Policy and agrees to regularly review the Privacy Policy for any updates or changes.

Without limiting the foregoing, Policy Sage will implement reasonable and appropriate measures to ensure that the Customer's Registration Data and any other information collected through the Service are protected against unauthorized access, disclosure, alteration, or destruction. Policy Sage will notify the Customer promptly of any known unauthorized access to or use of the Customer's Account or any breach of security involving the Customer's information.

Confidentiality

This confidentiality obligation shall survive the termination or expiration of this agreement for a period of five (5) years. In the event of a breach of confidentiality obligations, the non-breaching party shall be entitled to seek injunctive relief, monetary damages, and any other legal remedies available to protect its confidential information, designs, and pricing details.

For the purposes of this agreement, "Confidential Information" means any non-public information disclosed by one party to the other, either directly or indirectly, in writing, orally or by inspection of tangible objects, including but not limited to business plans, financial information, technical data, trade secrets, and customer information. Confidential information does not include information that:

• is or becomes publicly known through no breach of this clause by the receiving party;

• is received from a third party without breach of any obligation of confidentiality;

• is already in the possession of the receiving party at the time of disclosure without confidentiality restrictions;

• is independently developed by the receiving party without use of the disclosing party's confidential information.

The parties agree to use the confidential information solely for the purpose of using the Service as per the terms of this agreement and not for any other purpose. Each party shall implement reasonable security measures to protect the other party's confidential information and shall promptly notify the other party if it becomes aware of any unauthorized use or disclosure of the confidential information.

Notwithstanding the foregoing, the receiving party may disclose confidential information if required by law, regulation, or valid legal process, provided that the receiving party gives the disclosing party prompt written notice of such requirement prior to such disclosure and assistance in obtaining an order protecting the information from public disclosure, and provided further that any such disclosure is limited to the minimum extent necessary to comply with the legal requirement.

This confidentiality obligation shall survive the termination or expiration of this agreement for a period of five (5) years.

Limitation of Liability

Notwithstanding anything to the contrary in these Terms & Conditions, neither Policy Sage (the "Service Provider") nor the Customer shall be liable to each other for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Policy Sage has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Policy Sage's total liability to the Customer, for any claim under these Terms & Conditions, including for any implied warranties, is limited to the amount the Customer paid us to use the Service during the twelve (12) months prior to the claim arising.

Any claim or cause of action arising out of or related to the use of the Service or to these Terms & Conditions must be filed within one (1) year after such claim or cause of action arose, regardless of any statutes or law to the contrary. In the event any such claim or cause of action is not filed within such one (1) year period, such claim or cause of action shall be forever barred.

Warranty Disclaimer

THE SERVICE PROVIDED BY POLICY SAGE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOTWITHSTANDING THE FOREGOING, POLICY SAGE WARRANTS THAT, TO THE BEST OF ITS KNOWLEDGE, THE SERVICE DOES NOT INFRINGE ON ANY THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS. POLICY SAGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. POLICY SAGE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY THE CUSTOMER FROM POLICY SAGE OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. IF THE CUSTOMER IS DISSATISFIED WITH THE SERVICE, THE SOLE REMEDY IS TO DISCONTINUE USING THE SERVICE.

Indemnification

The Customer agrees to indemnify, defend, and hold harmless Policy Sage, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of the Terms & Conditions, or any activity related to the Customer's Account (including negligent or wrongful conduct) by the Customer or any other person accessing the Service using the Customer's Account.

Policy Sage agrees to indemnify, defend, and hold harmless the Customer from and against any claims, actions, or demands alleging that the Service, as provided by Policy Sage, infringes upon any third-party intellectual property rights. This indemnification is contingent upon the Customer promptly notifying Policy Sage of such claim, allowing Policy Sage sole control of the defense and settlement, and providing reasonable assistance as requested by Policy Sage. The foregoing states the entire liability of Policy Sage with respect to intellectual property infringement claims.

Furthermore, the Customer agrees to indemnify Policy Sage for any breach of the Privacy Policy, misuse of the Service, or infringement of any intellectual property rights or other rights of any person or entity by the Customer or any person using the Customer's Account. This indemnification obligation will survive the termination or expiration of the Terms & Conditions and the use of the Service.

Termination

This Agreement may be terminated by either party under the following conditions:

1. By the Customer: The Customer may terminate this Agreement at any time by providing written notice to Policy Sage. Upon termination, the Customer must cease all use of the Service and delete all copies of any software or documentation related to the Service from their devices.

2. By Policy Sage: Policy Sage may terminate this Agreement at any time without notice if the Customer breaches any term of this Agreement, including but not limited to, failure to comply with the Terms & Conditions, misuse of the Service, or violation of any applicable laws or regulations. Policy Sage may also terminate this Agreement for any reason by providing thirty (30) days written notice to the Customer.

3. Automatic Termination: This Agreement will automatically terminate without notice if the Customer's Account is deactivated for any reason, including due to inactivity or failure to maintain accurate Registration Data.

Upon termination, the Customer's right to access and use the Service will immediately cease, and the Customer must destroy all copies of any software or documentation in their possession or control. Any provisions of this Agreement that, by their nature, should survive termination will remain in effect after termination, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Automatic Renewal: This Agreement will automatically renew for successive one-year periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term. Any renewal will be subject to the then-current Terms & Conditions.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Policy Sage has its principal place of business, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in the jurisdiction of Policy Sage's principal place of business, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

Notwithstanding the foregoing, Policy Sage may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. This provision regarding Governing Law and Jurisdiction does not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

Amendments to the Terms & Conditions

Policy Sage reserves the right, at its sole discretion, to modify or replace any part of these Terms & Conditions at any time. Such amendments may reflect changes to the law, new regulatory requirements, or improvements or enhancements made to the Service. Policy Sage will provide at least thirty (30) days' notice before any substantial changes take effect, by posting a notice on the Service's website or sending an email to the email address associated with the Customer's Account.

Continued use of the Service after any such changes shall constitute the Customer's consent to such changes. If the Customer disagrees with the changes to the Terms & Conditions, the Customer has the right to terminate their Account and cease use of the Service. It is the Customer's responsibility to check the Terms & Conditions periodically for changes. The most current version of the Terms & Conditions will be posted on the Service's website and will supersede all previous versions.

This clause does not limit Policy Sage's right to introduce changes to the Service itself, including changes related to access, operation, and available features, which may be subject to separate terms or notices.

Miscellaneous

This Terms & Conditions agreement constitutes the entire agreement between Policy Sage (the "Service Provider") and the Customer regarding the use of the Service. It supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between the parties regarding the subject matter contained herein. No amendment to or modification of this agreement will be binding unless in writing and signed by a duly authorized representative of both parties.

These Terms & Conditions and the rights and obligations of the parties hereunder shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service Provider is located, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms & Conditions shall be brought exclusively in the courts of the said jurisdiction, and the parties hereby consent to the personal jurisdiction and venue therein.

If any provision of these Terms & Conditions is held by a court of competent jurisdiction to be contrary to law, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provisions of these Terms & Conditions shall remain in full force and effect.

The failure of Policy Sage to enforce any right or provision of these Terms & Conditions will not be deemed a waiver of such right or provision unless acknowledged and agreed to by Policy Sage in writing. The rights granted under these Terms & Conditions are cumulative and will not constitute a waiver of any prior or other rights Policy Sage may have under law or equity.

The headings in these Terms & Conditions are for convenience only and shall not affect the interpretation of this agreement.
